Code of Conduct WALTER GROUP | Business Partners CoC Business Partners | October 2025 Page 10 of 10 5.1 Grievance Procedure The Business Partner is required to communicate, in an appropriate manner, the information provided by the WALTER GROUP regarding accessibility, responsibilities and implementation of the grievance procedure to its employees. The procedure must be easily accessible to all employees, preserve the confidentiality of their identity and provide effective protection against retaliation. It must also ensure that external stakeholders affected by potential impacts have access to the grievance mechanism. If the Business Partner does not receive separate instructions from the WALTER GROUP, it is required to establish an effective grievance mechanism at the operational level. This mechanism must be available to individuals and communities who may be affected by adverse impacts. All incoming complaints must be carefully examined, followed up and documented in a transparent and traceable manner. In addition, the WALTER GROUP provides its own whistleblowing platform through which reports may be submitted openly or anonymously: https://wltr.gp/whistleblower/ Should a breach of the provisions of this Code of Conduct be identified, the WALTER GROUP will grant the Business Partner a reasonable cure period to remedy the violation. If remediation is not possible within a foreseeable timeframe, the Business Partner must promptly and transparently inform the WALTER GROUP so that an effective plan and timetable for ending or minimising the violation can be jointly developed and implemented. The WALTER GROUP is entitled to temporarily suspend the business relationship during this period. If the cure period expires without remedy or if the agreed measures prove ineffective and there is no further possibility of remedying the violation in a timely and economically reasonable manner, the WALTER GROUP shall be entitled to terminate the business relationship and the corresponding contracts. Without prejudice to the procedures and deadlines described above, any breach of this Code of Conduct shall, in principle, be considered a material breach of the Business Partners contractual obligations. This shall not affect the statutory rights to extr aordinary termination without notice particularly in the event of intentional or otherwise particularly serious violations nor the right to claim damages. 6. Acknowledgment and Consent of the Business Partner By acknowledging and accepting this Code of Conduct, the Business Partner undertakes to comply fully and at all times with the principles and requirements set out herein. This Code of Conduct constitutes a binding component of the business relationship wit h the WALTER GROUP. The Business Partner further undertakes to communicate the content of this Code, in an appropriate and comprehensible manner, to its employees, agents and subcontractors to conduct regular training and awareness measures and to ensure that compliance is continuously monitored and properly documented.
