Code of Conduct WALTER GROUP | Business Partners CoC Business Partners | October 2025 Page 8 of 10 4.1 Fair Competition The principles of fair business practice, fair advertising and fair competition must be strictly observed. In addition, all applicable competition and antitrust laws must be fully complied with. In particular, agreements or other anti- competitive practices that influence prices, conditions, capacities or quotas or that provide for the allocation of territories or customers, are strictly prohibited. Likewise prohibited are arrangements between customers and the Business Partner that restrict the entrepreneurial freedom of customers in setting prices or conditions. This also includes agreements on surcharges (e.g. fuel or security surcharges), which in the past have resulted in significant antitrust fines within the logistics sector. Furthermore, the Business Partner must neither exchange sensitive competition -related information with competitors nor disclose confidential information about competitors to the WALTER GROUP. 4.2 Confidentiality and Data Protection The Business Partner is required to strictly protect all confidential information, trade secrets and personal data that it receives in the course of its cooperation with the WALTER GROUP. This applies in particular to information relating to clients, suppliers, customers, consumers and employees. The Business Partner must ensure that confidential data and trade secrets are neither disclosed without authorisation nor misused or used for purposes other than those contractually agreed. This includes, inter alia, internal corporate strategies, financial and pricing data, technical developments, customer data and other sensitive information. In the collection, storage, processing, transfer and disclosure of personal data, the applicable data protection laws in particular the EU General Data Protection Regulation (GDPR) as well as relevant provisions on information security must be observed at all times. The Business Partner shall implement appropriate organisational and technical measures to ensure the confidentiality, integrity and security of all information. 4.3 Intellectual Property Intellectual property rights must be fully respected. Technology and know-how transfers may only take place in such a way that intellectual property rights and confidential customer information remain effectively protected at all times. The unauthorised use, disclosure or imitation of intellectual property is strictly prohibited. 4.4 Integrity / Bribery and Improper Advantage In all business activities, the highest standards of integrity must be upheld. The Business Partner must pursue a strict zero- tolerance policy towards bribery, corruption, extortion, embezzlement and any form of improper advantage.
